These Terms constitute a legally binding agreement between you and GenBricks ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

GenBricks provides enterprise software solutions, including but not limited to:

• GenLIMS - ISO-Compliant Laboratory Information Management System
• Arogya Healthcare Ecosystem - Aadhaar-Verified Healthcare Platform
• Pharmaceutical Warehouse Management System - GxP-Compliant WMS
• M&A and Divestiture Consulting Services

Access to certain features may require registration, subscription, or payment of fees as specified in separate service agreements.

3. Proprietary Rights and Intellectual Property

You acknowledge that:

• All Services, including source code, algorithms, designs, documentation, and related materials, are the exclusive property of GenBricks
• No ownership rights are transferred to you under these Terms
• You may not copy, modify, distribute, sell, or lease any part of our Services without express written permission
• You may not reverse engineer, decompile, or disassemble our software
• All trademarks, service marks, and trade names are owned by GenBricks

4. License Grant

Subject to these Terms and any applicable service agreement, GenBricks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.

Restrictions

You may NOT:

• Sublicense, rent, lease, or lend the Services to third parties
• Use the Services to develop competing products or services
• Remove or alter any proprietary notices or labels
• Use the Services in violation of applicable laws or regulations
• Attempt to gain unauthorized access to any systems or networks
• Use automated means to access the Services without permission

5. User Accounts and Security

If you create an account with us, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information is accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

6. Data Protection and Privacy

Our handling of personal data is governed by our Privacy Policy. By using our Services, you consent to the collection and use of information as described therein.

Healthcare and Regulatory Compliance

Our healthcare solutions (GenLIMS, Arogya) are designed to comply with applicable regulations including:

• ISO 25237 (Pseudonymization)
• ISO 27799 (Health Information Security)
• ISO 15189 (Medical Laboratory Quality)
• ISO 27001 (Information Security Management)
• HIPAA, GDPR, and DPDP Act (as applicable)

Users remain responsible for their own regulatory compliance obligations.

7. Confidentiality

You agree to maintain the confidentiality of any non-public information disclosed by GenBricks, including but not limited to:

• Technical specifications and architecture
• Business strategies and pricing
• Trade secrets and proprietary algorithms
• Customer lists and business relationships

This obligation survives termination of these Terms.

8. Disclaimer of Warranties

GenBricks disclaims all warranties, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that Services will be uninterrupted or error-free

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENBRICKS.AI SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Damages arising from your use or inability to use the Services
• Damages exceeding the fees paid by you in the twelve (12) months preceding the claim

Some jurisdictions do not allow limitation of liability, so the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless GenBricks and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Services

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the Services immediately ceases
• You must destroy all copies of any materials obtained from the Services
• Provisions that by their nature should survive will remain in effect

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved through:

1. Negotiation: Good faith discussions between the parties
2. Mediation: Non-binding mediation if negotiation fails
3. Arbitration: Binding arbitration under applicable arbitration rules

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and GenBricks regarding the Services
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control
