Welcome to GenBricks. By accessing or using our website, software, applications, and services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and GenBricks LLC ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Services

GenBricks provides custom software development and demonstration environments. Demonstrations use synthetic data, are illustrative only, and are not an offer of a hosted production service or any service-level commitment.

Access to certain features may require registration, subscription, or payment of fees as specified in separate service agreements.

3. Proprietary Rights and Intellectual Property

You acknowledge that:

• All Services, including source code, algorithms, designs, documentation, and related materials, are the exclusive property of GenBricks
• No ownership rights are transferred to you under these Terms
• You may not copy, modify, distribute, sell, or lease any part of our Services without express written permission
• You may not reverse engineer, decompile, or disassemble our software
• All trademarks, service marks, and trade names are owned by GenBricks

4. License Grant

Subject to these Terms and any applicable service agreement, GenBricks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.

Restrictions

You may NOT:

• Sublicense, rent, lease, or lend the Services to third parties
• Use the Services to develop competing products or services
• Remove or alter any proprietary notices or labels
• Use the Services in violation of applicable laws or regulations
• Attempt to gain unauthorized access to any systems or networks
• Use automated means to access the Services without permission

5. User Accounts and Security

If you create an account with us, you are responsible for:

GenBricks disclaims all warranties, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties of non-infringement
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that Services will be uninterrupted or error-free

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENBRICKS LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Damages arising from your use or inability to use the Services
• Damages exceeding the fees paid by you in the twelve (12) months preceding the claim

Some jurisdictions do not allow limitation of liability, so the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless GenBricks and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Services

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your license to use the Services immediately ceases
• You must destroy all copies of any materials obtained from the Services
• Provisions that by their nature should survive will remain in effect

12. No Professional Advice

Our website, demonstrations, and any consulting we provide do not constitute legal, tax, financial, or investment advice, and GenBricks is not a law firm, broker-dealer, or investment adviser. Engage appropriately licensed professionals for those matters.

13. Demonstrations

Demonstration environments available on our website or through our services use synthetic data and are provided for illustrative purposes only. Demonstrations:

• Do not constitute an offer of a hosted production service
• Do not include any service-level commitment or uptime guarantee
• May be modified, suspended, or discontinued at any time without notice
• Are provided "AS IS" without any warranty of any kind

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles.

The parties will first attempt to resolve any dispute through good-faith negotiation. Any dispute not resolved within thirty (30) days will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Travis County, Texas, before a single arbitrator.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in the state or federal courts located in Travis County, Texas, to protect its intellectual property or confidential information.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and GenBricks regarding the Services
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our written consent
• Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control
